Terms & Conditions
1. Scope of Application
These Terms and Conditions apply to all contracts, offers, and deliveries made by Smart Leather Manufacture (“we”, “us”, “the Seller”) to our customers (“you”, “the Buyer”).
Any terms and conditions of the Buyer that deviate from or conflict with these Terms shall not apply unless expressly agreed in writing.
2. Contract Formation
All offers, designs, and quotations are non-binding.
A contract shall be deemed concluded only when confirmed in writing by the Seller or when the goods are dispatched.
The Buyer’s order constitutes a binding offer to purchase the goods in accordance with these Terms and Conditions.
3. Prices and Payment
All prices are stated in euros (€) unless otherwise agreed.
Prices are exclusive of applicable taxes, customs duties, and shipping costs, which shall be borne by the Buyer.
Payment is due immediately upon invoice date unless other terms have been expressly agreed in writing.
The Seller reserves the right to require advance payment for custom-made or special-order products.
4. Custom-Made Goods
All products are manufactured according to individual specifications agreed with the Buyer.
Once production has commenced, the order cannot be canceled, altered, or withdrawn.
Due to the custom nature of the goods, no right of withdrawal, return, or refund applies except in cases of material defects covered by warranty.
5. Delivery and Transfer of Risk
Delivery times are approximate unless expressly guaranteed.
Risk of loss or damage passes to the Buyer when the goods are handed over to the carrier or shipping agent.
Partial deliveries are permitted unless expressly excluded in the contract.
6. Retention of Title
Ownership of the goods shall remain with the Seller until full payment has been received.
Until ownership passes, the Buyer shall handle the goods with due care and insure them adequately.
7. Warranty and Liability
The Seller warrants that the goods conform to the agreed specifications at the time of delivery.
Warranty claims must be made in writing without undue delay after discovery of the defect.
Normal wear, natural variations in leather, and differences in color or texture that do not affect the functionality of the product are not considered defects.
The Seller shall not be liable for indirect, incidental, or consequential damages, except in cases of intent or gross negligence.
8. Data Protection
Personal and business data provided by the Buyer shall be processed only to the extent necessary for fulfilling the contractual relationship and in accordance with applicable data protection principles.
9. Governing Law and Jurisdiction
All contracts and disputes arising from or relating to these Terms and Conditions shall be governed exclusively by the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction shall be the registered business location of the Seller, unless otherwise agreed in writing.
10. Final Provisions
Should any provision of these Terms and Conditions be or become invalid, the remaining provisions shall remain unaffected.
The invalid clause shall be replaced by a provision that most closely reflects the intended economic purpose.
